UPocket User Agreement

Important Notice

Before using UPocket (the “App”), please carefully read and fully understand this Agreement, especially the provisions that exclude or limit liability and those concerning content you import and paid benefits. By beginning to use the App, you confirm that you have read, understood, and agreed to all terms of this Agreement. If you do not agree with any part of it, please stop using the App.

This Agreement should be read together with the UPocket Privacy Policy.

1. Parties and Scope

1.1 Parties

This Agreement is entered into between you (the “User” or “you”) and UPocket Lab (“we,” “us,” or “our”).

1.2 Scope

This Agreement applies to all of your downloading, installing, accessing, and use of UPocket services, including:

1.3 Revisions to This Agreement

We may revise this Agreement from time to time to meet our business needs. After a revision, we will display the latest version in the App and update the date at the top of this Agreement. A change to the date indicates that the content has changed. If you continue to use the App after an update, you will be deemed to have accepted the revised Agreement. If you do not agree with the revisions, you should stop using the App.

2. Accounts and Use

2.1 Registration and Sign-In

The App uses email verification codes for sign-in, and sign-in also creates an account. When you enter your email address and verification code, we automatically create an account for you the first time you sign in; no separate registration step is required. You can use the same email address to sign in to that account later.

One email address corresponds to one account. You must ensure that the email address you use is genuine, valid, and under your control.

By signing in for the first time, you agree that we may collect, use, and protect your personal information in accordance with the UPocket Privacy Policy.

2.2 Account Security

The App does not use passwords. An email verification code is the only way to access your account. Therefore:

  1. You must safeguard access to the email account you use to sign in. Any sign-in completed using a verification code sent to that email address will be treated as an action taken by you.

  2. Do not share your verification code with anyone. We will never ask you for your verification code for any reason.

  3. You may not lend, rent, transfer, or otherwise allow another person to use your account.

  4. If you discover unauthorized use of your account or another security issue, please contact us immediately.

  5. You are responsible for losses caused by failing to safeguard access to your email account or verification code. We will provide reasonable assistance with issues caused by us.

Your sign-in session remains valid for a limited period. After it expires, you must obtain a new verification code to sign in. You may also sign out in the App at any time.

2.3 Minors

If you are under 18, you should read this Agreement and use the App with the consent and guidance of your parent or guardian. Your parent or guardian should confirm or assist with account registration, credit purchases, and similar actions.

3. Services

3.1 Core Features

UPocket is a personal article-saving and reading tool. The App currently offers:

3.2 Features That Use Credits

Some features deduct credits based on actual use. They currently include importing articles (including extracting and organizing their text), reprocessing articles, and translating full articles. The applicable credit deductions and any free allowance are shown in the App.

The rules for purchasing and using credits are set out in Section 4 of this Agreement.

3.3 Requirements for Use

You need an account and an internet connection to use the App.

Articles you import are stored on our servers. The App does not keep article content on your device for long-term storage, so you need an internet connection to retrieve and read it.

3.4 Changes to the Service

We may modify, add, suspend, or discontinue some or all features as needed for service operations. We will notify you through reasonable means, such as an in-app notice, unless otherwise required by law or an urgent security issue prevents advance notice. If a change affects your rights, we will handle it in accordance with applicable laws and regulations.

4. Credits and Payments

4.1 Nature of Credits

Credits are a one-time-use allowance for certain App features. Credits are not money, a subscription, membership status, or any form of investment interest.

  1. Credits cannot be exchanged for cash, withdrawn, transferred, or inherited, and cannot be moved between accounts.

  2. Credits do not expire and remain valid while your account exists.

  3. The number of credits used each time depends on the amount of content processed. The applicable deduction is shown in the App.

  4. If your credit balance is insufficient, features that use credits will be unavailable until your balance is replenished.

  5. We may grant a certain number of credits to newly registered accounts. The amount and conditions are shown in the App. The benefit is tied to the email address, and each email address may receive it only once. If you cancel your account and register again with the same email address, you will not receive the signup credits again. Signup credits work like purchased credits, but cannot be exchanged for cash or refunded.

4.2 How to Purchase

Credits are purchased as one-time in-app purchases through the Apple App Store. The credit products currently offered by the App do not involve auto-renewal or recurring charges.

Credit packages, prices, and credit amounts are shown on the in-app purchase page and in the Apple App Store. We may adjust packages and prices, but an adjustment will not affect purchases completed before the adjustment.

4.3 Purchase and Credit Delivery

  1. You must be signed in to make a purchase. After a successful purchase, credits are automatically added to the account you are currently signed in to and cannot later be transferred to another account.

  2. If credits are delayed because of a network or system issue, the App will automatically try to deliver them again the next time it starts. If they are still missing, contact us so we can investigate. Please provide your account email address and the purchase date and time.

  3. We will help investigate credit delivery issues, but we are not responsible for other consequences of delays caused by Apple’s payment system or network issues.

4.4 Refunds

  1. All payments are processed through the Apple App Store. Refunds are handled under Apple’s applicable rules. You must submit a refund request to Apple; we cannot issue a refund directly.

  2. If a refund is approved, the credits from that purchase will be deducted. If you have already used those credits, your balance may become negative. Features that use credits will become available again after your balance is replenished.

  3. Credits that have already been used will not be refunded or compensated.

5. Imported Content and Intellectual Property

5.1 Ownership of Imported Content

UPocket is a personal tool for storing and reading articles. We do not proactively edit, recommend, or distribute the content you import.

Copyright and other rights in articles you import belong to their original authors or rights holders. Imported content is stored only in your account space and is accessible only to you; it is not displayed to other users.

5.2 License You Grant to Us

To provide importing, storage, extraction, organization, translation, syncing, and related features, you grant us a non-exclusive license to process the content you submit to the extent necessary to provide the service to you.

This license is solely for providing the service and does not transfer ownership of any rights. Except as required by law or with your separate consent, we will not use your imported content for other purposes or provide it to other users.

You may delete content using the features in the App. The retention and deletion rules are set out in the UPocket Privacy Policy.

5.3 Your Responsibility for Imported Content

  1. You must ensure that you have the necessary rights to import the content, or that your importing and use of it are otherwise permitted by law, and you must comply with the source website’s terms.

  2. You may not import, store, or distribute content that violates laws or regulations or infringes another person’s intellectual property or other lawful rights.

  3. You are responsible for disputes or liability arising from content you import. If your actions cause us losses, you must compensate us.

5.4 Intellectual Property in the App

The rights to UPocket’s software, programs, interface design, trademarks, name, graphics, text, and other App-related materials belong to us or the relevant rights holders and are protected by copyright and other laws and regulations.

Without our written permission, you may not copy, modify, translate, reverse engineer, or decompile the App, or sell, rent, sublicense, or otherwise exploit the materials described above.

5.5 Copyright Complaints

We respect intellectual property rights. If you believe that content in the App infringes your lawful rights, please send us a notice using the contact information in Section 11 of this Agreement. Where possible, include:

After receiving a notice that meets these requirements, we will investigate within a reasonable period and may take necessary steps, such as removing the content or restricting access. You are responsible for the accuracy of the information in your notice.

6. Rules of Conduct

When using the App and related services, you must not:

  1. Engage in activities that violate laws or regulations or infringe another person’s lawful rights or interests;

  2. Attack, scan, probe, disrupt, or stress-test our servers without authorization, or attempt to bypass authentication, rate limits, or other security measures;

  3. Use the import feature to access internal network addresses, local resources, or systems you are not authorized to access, or use the App as a proxy, crawler, or scanning tool;

  4. Use malicious software, automated scripts, bulk requests, or other abnormal methods to affect service operations or evade credit deductions;

  5. Provide the App’s features or their output to others as an interface, resell them, or redistribute them;

  6. Attempt to access, obtain, or interfere with another user’s data, account, or permissions; or

  7. Create multiple accounts, repeatedly cancel and recreate accounts, or otherwise seek to receive the same signup benefit or other offer more than once.

If we discover any of these activities, we may take action under Section 9 of this Agreement.

7. Service Interruptions and Termination

7.1 Service Availability

  1. We will take reasonable steps to maintain service stability, but cannot guarantee that the service will always be continuous, timely, complete, or entirely error-free.

  2. Maintenance, upgrades, or other reasons may cause interruptions, delayed responses, or the unavailability of some features. Our liability in these circumstances is described in Section 8 of this Agreement.

  3. Because your imported content is stored on our servers and is not kept on your device for long-term storage, you may not be able to access it during a service interruption.

  4. For planned maintenance, we will provide advance notice through reasonable means, such as an in-app notice, where reasonably practicable. This does not apply when an urgent security issue prevents advance notice.

7.2 Termination by You

You may stop using the App at any time. You may request account cancellation in the App or contact us for assistance.

After cancellation, data associated with your account will be handled as described in the UPocket Privacy Policy. Any remaining credit balance will be cleared and will not be converted to cash or compensated. Refunds for purchased credits, if applicable, are handled under the Apple App Store’s rules.

7.3 Termination by Us

  1. If you breach this Agreement, we may take action under Section 9, up to and including ending our provision of the service to you.

  2. If we decide to discontinue the App, we will notify you in advance through reasonable means, such as an in-app notice, and handle your account data as required by law. Before discontinuing the service, we will provide a reasonable period for you to use any credits you have not spent, or handle them as required by applicable law.

8. Disclaimers

8.1 Import Results and Content Accuracy

  1. Imported content comes from third-party websites, whose availability, accuracy, and completeness we cannot control. Changes to source websites, access restrictions, sign-in or payment requirements, dynamic loading, network conditions, and differences in formatting may prevent some content from being imported successfully or may result in missing text, layout issues, broken images or links, or incorrectly displayed tables and code.

  2. Content you have imported does not automatically change when the source page is updated or deleted.

  3. Images, videos, and other content in an article may not display or play because of access restrictions imposed by the source website.

  4. Text extraction, organization, and translation are performed automatically by software and may contain errors or omissions. Translations are for reference only and are not professional translation advice. You are responsible for checking their accuracy and suitability.

8.2 Third-Party Links and Services

Articles in the App may contain links to third-party websites, images, videos, or other services. Those services are independently operated. We are not responsible for their content, accuracy, availability, or privacy practices.

When you visit a third-party website or service, that third party’s terms and policies apply. When you load third-party content, its operator may receive necessary network request information, as described in the UPocket Privacy Policy.

8.3 Limitation of Liability

  1. We will take reasonable measures to protect your data. To the extent permitted by law, we are not responsible for service interruptions, data loss, or data damage caused by force majeure, network failures, device failures, changes to third-party services, or other circumstances reasonably beyond our control.

  2. Because the App does not keep content on your device for long-term storage, we recommend that you keep the original links to articles you import or make your own backups.

  3. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or punitive losses arising from your use of, or inability to use, the App, including loss of profits, data, or goodwill.

  4. To the maximum extent permitted by law, our total aggregate liability under this Agreement is limited to the total amount you paid us for the App during the 12 months before you made a claim.

  5. This section does not exclude or limit liability that cannot be excluded or limited by law, including liability for losses caused by our willful misconduct or gross negligence.

9. Breach of This Agreement

9.1 Breach by You

If you breach any part of this Agreement, we may take one or more of the following measures depending on the circumstances:

  1. Provide a reminder or warning, or require you to correct the issue within a specified period;

  2. Restrict or suspend some features, including features that use credits;

  3. Remove infringing or otherwise prohibited content or related import records, including content involved in a complaint handled under Section 5.5;

  4. Suspend or end our provision of the service to you, or cancel your account; or

  5. Pursue any liability available under applicable laws and regulations.

For an ongoing violation, we may first take necessary measures and, where reasonably practicable, tell you why. If you believe a measure was taken in error, you may appeal using the contact information in Section 11.

If these measures prevent you from using purchased credits, we will handle the matter in accordance with applicable law and the circumstances.

9.2 Compensation for Losses

If you breach this Agreement or content you import causes losses to us or a third party, you must compensate for those losses, including reasonable expenses we incur to stop the violation, handle a complaint, or respond to a dispute.

10. Other Terms

10.1 Entire Agreement

This Agreement and the UPocket Privacy Policy form the entire agreement between you and us concerning your use of the App and replace any prior agreements between us on the same subject.

10.2 Severability

If any provision of this Agreement is held invalid or unenforceable, it must be limited or modified only to the minimum extent necessary to make it valid and enforceable. If it cannot be so limited or modified, it will be treated as deleted from this Agreement, and the remaining provisions will continue in effect.

10.3 Governing Law

The formation, performance, interpretation, and resolution of disputes under this Agreement are governed by the laws and regulations applicable to the service, excluding conflict-of-law rules.

Any mandatory consumer protections under the laws of your place of residence remain unaffected by this section.

10.4 Dispute Resolution

The parties will first try to resolve disputes arising from this Agreement through friendly consultation. If consultation fails, either party may bring a claim before a court with jurisdiction.
